Accepting our terms and conditions is essential for accessing and benefitting from our service of introducing you to the manufacturer suited best to your business needs.
The webpage Matchory.com as well as all sourcing, consulting and matching services including the provision of business contacts offered under the name of Matchory and / or over the webpage Matchory.com are offered and provided by Wiegand Sourcing UG (haftungsbeschraenkt (limited liability)). These services provided under the name of Matchory over the webpage Matchory.com are a part of Wiegand Sourcing UG (haftungsbeschraenkt (limited liability)) and will be referred to in the following simply as „Matchory“.
Matchory exclusively focuses on the provision of business contacts and assistance in the process of arranging production but does not consult on import regulations, product safety or product liability laws of the country of our customers or manufacturers or any other legal, fiscal or other aspects of international production and sourcing. Please always make sure to follow your country‘s import regulations and that all products comply with your and your customer’s country's quality and safety requirements.
Because Matchory is a sourcing and consulting company focusing on helping customers arrange international productions, Matchory provides business contacts and assistance during the process of arranging the terms of production but does not itsself produce any products or accept any liability for products provided by a manufacturer even if the costumer has been introduced to this manufacturer by Matchory over the webpage Matchory.com.
All liabilities regarding products thus exclusively lie with the manufacturer and the subsequent importer and / or trader of any products even if the manufacturer has been introduced to the trader / importer over the webpage Matchory.com. The importer / trader and the supplier are liable for quality, delivery and product safety.
To select the manufacturer suited best to your business needs and introduce you to this manufacturer, the information and content you have uploaded to and provided over Matchory.com will be shared in part with manufacturers and suppliers. Furthermore, in order to guide our customers and manufacturers efficiently through the process of arranging production, Matchory will receive copies of all correspondence exchanged over Matchory.com or otherwise between the customer and the selected manufacturer. This allows Matchory to actively facilitate the process of arranging the terms of production and help our customers solve any problems that may arise during the arrangement process.
Please note that subject to the terms and conditions outlined here, you may access and use the services provided over Matchory.com only for lawful purposes. All rights, title and interest in and to the services provided over Matchory. com and its components will remain with and belong exclusively to Matchory. It is not permitted to sublicense, resell, rent, lease, transfer, assign, time share or otherwise commercially exploit or make the services provided over Matchory.com available to any third party.
It is not permitted to use the services provided over Matchory.com in any unlawful manner (including without limitation in violation of any data, privacy or export control laws) or in any manner that interferes with or disrupts the integrity or performance of the webpage Matchory.com, the services provided over Matchory.com or its components, or to modify, adapt or hack the services provided over Matchory.com to, or otherwise attempt to gain unauthorized access to the services provided over Matchory.com or to the website Matchory.com itsself or its related systems or networks.
All customers of Matchory shall comply with any codes of conduct, policies or other notices Matchory provides you or publishes in connection with the services provided over Matchory.com, and all customers shall promptly notify Matchory if they learn of a security breach related to the services provided over Matchory.com or under the name of Matchory.
Matchory reserves the right, in its sole discretion, to restrict, suspend, or terminate this agreement and your access to all or any part of the webpage Matchory.com or the content you have provided or uploaded to Matchory at any time and for any reason without prior notice or liability. Matchory reserves the right to change, suspend, or discontinue all or any part of the webpage Matchory.com at any time without prior notice or liability.
By agreeing to these terms and conditions you represent and warrant to Matchory that (i) you have full power and authority to enter into these terms and conditions; (ii) you own all content you upload to or share over Matchory.com or have obtained all permissions, releases, rights or licenses required to engage in your posting and other activities (and allow Matchory to perform its obligations) in connection with the services provided over Matchory.com without obtaining any further releases or consents; (iii) all content you upload to or share over Matchory.com and other activities in connection with the services rendered over Matchory.com, and Matchory‘s exercise of all rights and license granted by you herein, do not and will not violate, infringe, or misappropriate any third party’s copyright, trademark, patent, right of privacy or publicity, or other personal or proprietary right, nor does content you upload to or share over Matchory.com contain any matter that is defamatory, obscene, unlawful, threatening, abusive, tortious, offensive or harassing; and (iv) you are eighteen (18) years of age or older.
All dealings between you and Matchory shall be governed by the laws of the Federal Republic of Germany without regard to the principles of conflicts of law. Unless otherwise elected by Matchory in a particular instance, you hereby expressly agree to submit to the exclusive personal jurisdiction of the courts of the Federal Republic of Germany for the purpose of resolving any dispute relating to your access to or use of the services provided by Matchory and / or over the webpage Matchory.com.
If any provision of these terms and conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms and conditions will otherwise remain in full force and effect and enforceable.
Both parties agree that these terms and conditions and any additional terms and conditions as applicable, are the complete and exclusive statement of the mutual understanding of the parties and supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these terms and conditions, and that all waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of these terms and conditions and customers do not have any authority of any kind to bind Matchory in any respect whatsoever.
